Intellectual Property Rights Policy

1. Ownership of Intellectual Property

Each Solana Deads NFT is a cryptographic token on the Solana blockchain. Ownership of the NFT token does not convey ownership of the underlying artwork, character, design, or intellectual property (“IP”) associated with the NFT.

All rights, title, and interest in and to the artwork, names, lore, branding, logos, trademarks, trade dress, metadata, and associated assets remain the sole and exclusive property of the Solana Deads project (“Project”, “we”, “us”).

2. License Grant

Subject to your continued compliance with this Policy, the Project grants the lawful holder of a Solana Deads NFT (“you”, “Holder”) a limited, non-exclusive, non-transferable (except as described in Section 5), revocable license to use, display, and create derivative works based on the associated NFT artwork solely for the following permitted uses:

a. Personal Use

• Displaying the NFT artwork in digital galleries, profile pictures, social media accounts, or virtual spaces.

b. Conditional Commercial Use

Subject to the restrictions in Section 3, Holders may use the NFT artwork for limited commercial purposes, including but not limited to merchandise, digital content, or derivative creative works, provided that such use:

• Does not compete with, imitate, or replicate the Solana Deads brand or official products.
• Does not suggest or imply endorsement, partnership, or affiliation with the Project without written permission.
• Complies fully with the restrictions in this Policy and applicable law.

3. Prohibited Uses

You may not use the NFT, its artwork, or any associated IP in any manner that:

• Defames, ridicules, or damages the reputation of the Solana Deads project or its community.
• Promotes, depicts, or associates the art with hate speech, racism, intolerance, discrimination, violence, or abuse.
• Includes or promotes pornography, sexually explicit material, political messaging, or extremist ideologies.
• Engages in scams, fraud, deceptive marketing, or illegal financial schemes.
• Violates any applicable intellectual property, trademark, or publicity rights.

The Project reserves the exclusive right to determine whether a use violates this section.

4. Revocation and Enforcement

The Project may, at its sole discretion and at any time, revoke the license granted under this Policy for any violation, perceived harm to the Project’s reputation, or misuse of the IP. Enforcement actions may include:

• DMCA takedown notices or copyright complaints
• Cease-and-desist letters
• Public disassociation or blacklisting
• On-chain metadata or token gating enforcement

Revocation is effective immediately upon notice or discovery of breach.

5. Transfer of Rights

When a Solana Deads NFT is sold or transferred, the license granted under this Policy transfers automatically to the new Holder. The prior Holder’s rights under this Policy are immediately terminated, and all commercial and derivative use must cease.

6. Reservation of Rights

The Project retains all rights not expressly granted in this Policy, including but not limited to:

• Copyrights and trademark rights
• Rights to develop commercial merchandise, games, media, or derivative collections using any NFT art
• Rights to override any Holder’s use in favor of official project development

This Policy does not grant the right to use the “Solana Deads” name, logos, or brand identity in any way unless otherwise authorized in writing.

7. Metadata and Public Reference

This Policy will be publicly accessible and referenced in each NFT’s metadata. The Project maintains full and permanent authority over metadata content and structure. Metadata shall not be modified by any third party, platform, or Holder.

8. Legal Jurisdiction

This Policy shall be governed by and construed in accordance with the laws of a jurisdiction designated by the Solana Deads team. Any disputes arising out of or relating to this Policy shall be subject to the exclusive jurisdiction of that venue.

9. Acceptance

By purchasing, holding, or using a Solana Deads NFT, you acknowledge that you have read, understood, and agreed to this Policy in full. If you do not agree, you must not use, display, or commercially exploit the NFT artwork.

10. Authorization and Approvals

Only a written, signed agreement from an authorized representative of the Solana Deads project constitutes valid authorization for extended or special use of NFT IP. This includes but is not limited to licensing, partnerships, sponsored collaborations, and IP sublicensing.

Social media messages, Discord/Telegram chats, community calls, or third-party moderator statements do not constitute written permission and shall not be considered valid under any circumstances.

All approvals must be verifiable, documented, and retained by the Project as legal record.

• You own the token, but not the artwork or IP.
• You can use it for personal display and some commercial use if it doesn't compete or defame the brand.
• No hate speech, porn, politics, scams, or misuse.
• Team can revoke rights at any time and take legal action.
• Rights transfer to the new buyer. Old owner must stop use.
• Team controls all metadata and retains full copyright.
• Only team-signed contracts count. Social Media chats do not.
